1. Acceptance of Terms

By accessing and using Ori ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by these terms, please do not use this Service.

2. Description of Service

Ori is an AI-powered data intelligence platform that allows users to connect to databases, APIs, and spreadsheets, query data using natural language, generate visualizations, dashboards, and reports. The Service includes web-based interfaces, API access, and related tooling.

3. User Accounts and Eligibility

To use the Service, you must:

• Create an account via our authentication provider (Clerk)
• Be at least 16 years old or the age of legal majority in your jurisdiction
• Provide accurate and complete registration information
• Maintain the security of your account credentials

You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized use.

4. Subscription and Payment

The Service offers tiered subscription plans:

• Free Plan: Limited features for evaluation
• Pro Plan: $29/month (or local currency equivalent)
• Max Plan: $79/month (or local currency equivalent)
• Enterprise: Custom pricing

Subscriptions automatically renew unless cancelled at least 7 days before the billing cycle ends. All fees are non-refundable except as required by law. You authorize us to charge your payment method for all subscription fees.

5. Acceptable Use

You agree NOT to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Attempt to gain unauthorized access to any systems or networks
• Transmit malware, viruses, or other harmful code
• Perform activities that may interfere with or disrupt the Service
• Use the Service for any illegal or unauthorized purpose
• Resell, redistribute, or sublicense the Service without authorization
• Generate or disseminate content that is hateful, defamatory, or discriminatory

6. Data Source Connections

When you connect data sources to Ori:

• You represent and warrant that you have all necessary rights to access and use the data sources you connect
• Credentials are encrypted using AES-256-GCM and stored securely
• You are solely responsible for maintaining the security of your data source credentials
• We process your data only as directed by your queries and within your account

7. Intellectual Property

The Service, including all content, features, and functionality, is owned by Ori and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

You retain ownership of all data you input into the Service. By using the Service, you grant us a limited license to use your data solely to provide and improve the Service.

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

You may cancel your subscription at any time through your account settings. No refunds will be provided for partial billing periods unless required by law.

9. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. We do not warrant that the Service will be uninterrupted, secure, or error-free. Your use of the Service is at your sole risk.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLARIVYN AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (iii) ANY CONTENT OBTAINED FROM THE SERVICE; AND (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

Our total liability under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Ori and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.

12. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect.

14. Entire Agreement

These Terms constitute the entire agreement between you and Ori regarding the Service and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether oral or written.
